USER AGREEMENT - TERMS AND CONDITIONS

1.1 Binding Terms and Conditions
Registering for an account and/or participating at HorseRaceGame.com signifies your knowledge and agreement of this user agreement and the terms and conditions contained herein. HorseRaceGame.com may modify the terms and conditions at any time and your continued use of the site following such modifications signifies your acceptance of the modifications. It is the sole responsibility of the user to review these terms and conditions periodically for any modifications.

1.2 Entire Agreement
The terms and conditions herein in connection with any other rules or obligations detailed on HorseRaceGame.com including by not limited to the help section, the prize section, the breeding pages, and the racing pages consitute the entire agreement between any user and HorseRaceGame.com and cannot be modified by any user. The terms and conditions cannot be modified on an individual basis by any person affiliated or claiming affiliation with HorseRaceGame.com. Nothing prevents HorseRaceGame.com from modifying the terms and conditions and posting such modifications.

1.3 Governing Law and Disputes
The terms and conditions will be governed and construed in accordance with the US laws of the physical state of residence of HorseRaceGame.com irrespective of any principles of conflicts of law. By registering and/or particiating you agree that any dispute that cannot be resolved between parties shall be resolved individually without resort to any form of class action. You further agree that any legal action arising from any dispute shall proceed only in the state or federal courts of the physical residence of HorseRaceGame.com only.

1.4 Severability
If any portion of these terms and conditions is deemed void then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of the remaining provisions.

2.1 United States Eligibility
To open an account and/or participate at HorseRaceGame.com you must:
a) be a natural person assigned to the e-mail address submitted on your account and be at least 18 years old;
b) be a U.S. citizen or resident alien with a U.S. address;
c) be physically located within the U.S.;
d) be physically located in a U.S. state in which participation on the site is not prohibited.

The rules governing skill-based contests with entry fees and/or prizes are set up by each individual state and not by the federal government. Based on the 50 sets of laws, withdraws in excess of deposits and other promotional prizes are not available to residents of: Arizona, Iowa, Louisiana, Montana, North Dakota, Tennessee, Vermont, Washington.

2.2 Non-U.S. Eligibility
To open an account and/or participate at HorseRaceGame.com you must:
a) be a natural person assigned to the e-mail address submitted on your account and be at least 18 years old;
b) be legally qualified to participate from the physically located place of residence and participation.

2.3 Additional Persons Not Eligible
HorseRaceGame.com employees or any other person with knowledge of the inner-workings or algorithms used on the HorseRaceGame.com site are not eligible to participate in the game.

2.4 Legality
Anyone registering and/or participating at HorseRaceGame.com is subject and responsible for all laws of the state, province, and/or country in which they reside or access HorseRaceGame.com from and are solely responsible for obeying those laws. You agree HorseRaceGame.com cannot be held liable if laws applicable to you restrict or prohibit participation. HorseRaceGame.com makes not respresentations or warranties implicit or explicit as to your legal right to participate at HorseRaceGame.com.

2.5 Monitoring
HorseRaceGame.com reserves the right to monitor the location of anyone registering and/or participating at HorseRaceGame.com. HorseRaceGame.com reserves the right to block access from any jurisiction in which participation is illegal or restricted.

2.6 Additional Information
HorseRaceGame.com has the right to request additional information at any time, some of which may be private, from any user as deemed necessary by HorseRaceGame.com. Participant will have 3 business days to provide any information requested by HorseRaceGame.com and if not provided by participant within 3 business days can result in cancellation of participants account which can include loss of all cash, game points, horses, or anything else of value at HorseRaceGame.com

2.7 Acknowledgement of Proprietary Rights
HorseRaceGame.com is the property of Virtual Sports, Inc. with corporate headquarters located at 11124 Kingston Pike, Suite 119-255, Knoxville, TN 37934, Phone: 855-260-7537 and by registering and/or participating you agree that all information contained on HorseRaceGame.com may be protected in all forms and media by one or more valid copyrights, patents, trademarks, trade secrets, or other proprietary rights, and all rights are owned by HorseRaceGame.com.

2.8 Other Rights
HorseRaceGame.com neither warrants nor represents that your use of materials displayed on HorseRaceGame.com will not infringe rights of third parties.

2.9 Accuracy of Information
HorseRaceGame.com makes no warranties or representations as to the accuracy or timeliness of any information dispayed on the site. HorseRaceGame.com assumes no liability or responsiblity for any errors or omissions in the content of the site.

2.10 Accessibility of Site
HorseRaceGame.com shall not be liable and makes no warranties or representations as to the ability to access the site at any time. HorseRaceGame.com can not be held liable for the inability of any participant to access the site regardless of where the problem is located at.

2.11 Modification or Discontinuation of Service
HorseRaceGame.com reserves the right to modify or discontinue the game at any time and HorseRaceGame.com shall not be held liable to any member or third party for any loss or damage.

3.1 Game of Skill
HorseRaceGame.com is designed as a game of skill. Winners are deteremined by the rules of the game as outlined with individuals using their skill and knowledge in playing the game.

3.2 Prizes
HorseRaceGame.com awards cash prizes to individuals as outlined in the rules of the site. Prizes awarded are determined by the rules of the game as outlined on the site through the use of skill and knowledge of the individual. Prizes may be awarded for finishing at or near the top of a leader board. The number of individuals participating in a leader board can have a significant impact on the difficulty of an individual winning a prize from a leader board.

4.1 Partipant Responsibility
It is the responsiblity of the participant to adhere to all rules and conditions outlined in the game. This includes but is not limited to anything deemed to be cheating or not in the best interest of the game. HorseRaceGame.com reserves the right to cancel a participants account at any time for anything HorseRaceGame.com determines to not be in the best interest of the game and cancellation can result in loss of cash, game points, horses, or anything else of value in the game. HorseRaceGame.com reserves the right to confiscate funds or property (i.e. horses) from any user who obtained those funds/property by any means outside the rules outlined in the game.

4.2 Response to Questions, Postings, or Any Other Issues
HorseRaceGame.com always trys to respond to questions, postings, or any other issues in a timely manner but HorseRaceGame.com can not be held liable for speed of response to any question, posting, or issue.

4.3 Forums and Other Particpant Text
Profanity, inappropriate language, wagering information (such as odds or part of a transaction), or any other language not in the best interest of the game is strictly prohibited anywhere on the site and can lead to immediate cancellation of a participant's account including loss of all cash, game points, horses, or anything of value at HorseRaceGame.com. HorseRaceGame.com reviews the forums but does not regularly monitor them.

4.4 Views, Opinions, and Postings of Partipants
Views, opinions, and any other postings on HorseRaceGame.com of participants are not necessarily the views or supported by HorseRaceGame.com and HorseRaceGame.com can not be held liable for any such views, opinions, or postings.

4.5 Fees
All fees associated with this game are for entertainment value only. This includes but is not limited to purchasing points or a VIP membership. Fees are for supplementing costs involved in operating this site.

4.6 Termination Due to Inactivity
Participants with verified stables and any number of logins or unverified stables with at least 50 logins that have not logged in within the last 18 months will be deactivated along with their horses. Participants with unverified stables that have not logged in at least 50 times and have not logged in within the last 6 months will be deactivated along with their horses. They can not be reactivated and any cash, game points, horses, or anything else of value will become the property of HorseRaceGame.com.

4.7 Refund Policy
Participants have 14 days from their first payment to close their account and request a full refund. After 14 days from a participant's first payment to HorseRaceGame.com payments for any amount including but not limited to game points or vip memberships can not be refunded.

4.8 Transfer of Ownership
Stables, horses, farms, or anything else not mentioned can not be transferred from one stable to another outside the confines of this game. Owners wishing to disperse items to other stables must do so within the confines of this game through whatever methods are available as part of this game and can only receive payment with methods available inside this game. Third party payments outside of the game are prohibited.
